The court was asked to decide whether CISG was applicable to a contract for the transfer of a quota of a limited liability company from a Hungarian firm to a German firm. The court held that CISG applies exclusively to contracts for the sale of tangible goods. A contract for the transfer of a quota of a limited liability company, therefore, is not governed by CISG. Hungarian domestic law was held applicable.
