A UK company sold and delivered panels to a Dutch buyer. The buyer refused to pay the purchase price claiming that the debt could be set-off against damages caused by the seller.

The court held that the applicable law was the 1964 Hague Convention relating to a Uniform Law on the International Sale of Goods (ULIS) as the contract had been concluded before the entry into force of CISG in The Netherlands (Art. 100 CISG).
